Top Market Funding provides business funding solutions including but not limited to:

  • Small Business Loans: Traditional term loans for equipment purchases, working capital, expansion, inventory, and facility improvements
  • Business Lines of Credit: Revolving credit facilities allowing businesses to draw funds as needed, repay, and draw again
  • Merchant Cash Advances: Funding based on future credit card sales and business revenue
  • Equipment Financing: Specialized financing for construction equipment, commercial vehicles, technology systems, restaurant equipment, and professional equipment
  • Invoice Financing: Advances based on outstanding accounts receivable

All funding products are subject to credit approval, underwriting criteria, and availability. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Eligibility Requirements

To be eligible for our business funding services, you must:

  • Be at least 18 years of age and have the legal capacity to enter into binding contracts
  • Operate a legitimate business entity (corporation, LLC, partnership, or sole proprietorship) in the United States
  • Have a valid Employer Identification Number (EIN) or Social Security Number for business tax purposes
  • Provide accurate and complete business and financial information
  • Maintain an active business bank account
  • Meet our minimum time-in-business and revenue requirements (as determined by us in our sole discretion)
  • Not be currently involved in bankruptcy proceedings, unless specifically approved by us
  • Comply with all applicable federal, state, and local laws and regulations

We reserve the right to verify any information you provide and to conduct background checks, credit checks, and other due diligence as we deem necessary. Approval of any funding application is at our sole discretion.

4. Application Process

When you apply for funding through Top Market Funding:

  • You agree to provide accurate, current, and complete information about yourself and your business
  • You authorize us and our service providers to obtain consumer credit reports, business credit reports, bank statements, tax returns, and other financial documents as part of our evaluation process
  • You consent to our contacting third parties to verify information provided in your application
  • You understand that providing false, misleading, or incomplete information may result in denial of your application, termination of any approved funding, and potential legal action
  • You acknowledge that submitting an application does not guarantee approval or funding
  • You understand that we may request additional documentation or information at any time during the application or funding process

Applications are subject to our underwriting standards, which we may modify from time to time without notice. We reserve the right to reject any application for any reason at our sole discretion.

5. Funding Terms and Conditions

If your application is approved, you will receive a funding agreement or loan contract that sets forth the specific terms of your funding, including but not limited to:

  • Funding amount
  • Interest rate, factor rate, or discount rate (as applicable)
  • Repayment terms and schedule
  • Origination fees, processing fees, and other charges
  • Collateral requirements (if any)
  • Personal guarantee requirements (if applicable)
  • Covenants and restrictions on use of funds
  • Default provisions and remedies

You are required to carefully review and understand all terms of the funding agreement before accepting the funds. By accepting funds, you agree to be bound by all terms and conditions set forth in the funding agreement.

Use of Funds: You agree to use funding proceeds solely for legitimate business purposes as disclosed in your application. Misuse of funds may constitute default and may result in immediate acceleration of repayment obligations.

6. Interest Rates, Fees, and Repayment

Interest Rates and Factor Rates: Interest rates, annual percentage rates (APR), and factor rates vary based on multiple factors including creditworthiness, business financials, time in business, industry, loan amount, and loan term. Rates are determined at the time of approval and disclosed in your funding agreement.

Fees: We may charge various fees including:

  • Origination fees
  • Processing fees
  • Underwriting fees
  • Late payment fees
  • Returned payment fees
  • Prepayment penalties (if applicable)
  • Collection fees (in the event of default)

All fees will be clearly disclosed in your funding agreement. You are responsible for reviewing and understanding all fees before accepting funding.

Repayment: Repayment terms vary by product type and are specified in your funding agreement. Methods of repayment may include:

  • Daily or weekly automatic debits from your business bank account
  • Monthly automatic debits from your business bank account
  • Manual payments via check or wire transfer
  • Percentage of daily credit card sales (for merchant cash advances)

You are responsible for ensuring sufficient funds are available in your account on scheduled payment dates. You authorize us and our service providers to initiate ACH withdrawals from your designated business bank account for repayment purposes.

7. Default and Remedies

You will be in default under your funding agreement if you:

  • Fail to make any payment when due
  • Breach any covenant, representation, or warranty in the funding agreement
  • Provide false or misleading information
  • File for bankruptcy or become insolvent
  • Experience a material adverse change in your business or financial condition
  • Use funds for purposes other than disclosed business purposes
  • Fail to maintain required insurance (if applicable)
  • Violate any applicable law or regulation

Remedies: Upon default, we may, at our option:

  • Accelerate all outstanding obligations and demand immediate payment in full
  • Charge late fees and collection costs
  • Initiate collection proceedings, including reporting to credit bureaus
  • Pursue legal action to recover amounts owed, including attorneys' fees and court costs
  • Exercise rights with respect to collateral or personal guarantees (if applicable)
  • Engage third-party collection agencies or law firms

You will be responsible for all costs of collection, including reasonable attorneys' fees and expenses, incurred in connection with any default.

8. Fraud Disclosure and Prevention

IMPORTANT FRAUD WARNING:

8.1 Fraudulent Applications Prohibited: It is illegal and strictly prohibited to submit fraudulent or false information when applying for business funding. This includes but is not limited to:

  • Providing false business information, including business name, address, or EIN
  • Falsifying financial statements, tax returns, or bank statements
  • Misrepresenting business revenue, profitability, or ownership
  • Using stolen identities or business identities
  • Submitting fabricated invoices, contracts, or business documents
  • Providing false personal information or personal guarantees
  • Using funds obtained through fraud to repay other debts
  • Concealing bankruptcy filings or other material financial information

8.2 Consequences of Fraud: Any fraudulent activity will result in:

  • Immediate denial or termination of your application and any approved funding
  • Immediate acceleration of all outstanding obligations
  • Reporting to law enforcement authorities, including the Federal Bureau of Investigation (FBI), local police, and the Federal Trade Commission (FTC)
  • Reporting to credit bureaus, which may negatively impact your credit score
  • Civil liability for damages, including treble damages where permitted by law
  • Criminal prosecution under federal and state law, including but not limited to wire fraud, mail fraud, bank fraud, identity theft, and conspiracy charges
  • Permanent ban from all Top Market Funding services
  • Sharing of information with other lenders and financial institutions to prevent future fraud

8.3 Federal and State Laws: Business funding fraud violates multiple federal and state laws, including:

  • 18 U.S.C. § 1343 (Wire Fraud) - Up to 20 years imprisonment and $250,000 fine
  • 18 U.S.C. § 1341 (Mail Fraud) - Up to 20 years imprisonment and $250,000 fine
  • 18 U.S.C. § 1344 (Bank Fraud) - Up to 30 years imprisonment and $1,000,000 fine
  • 18 U.S.C. § 1028 (Identity Theft) - Up to 15 years imprisonment
  • 18 U.S.C. § 1029 (Access Device Fraud) - Up to 10 years imprisonment
  • State laws regarding theft, fraud, and identity theft

8.4 Our Fraud Prevention Measures: We actively combat fraud through:

  • Comprehensive identity verification and authentication
  • Third-party fraud detection and prevention services
  • Credit bureau verification and monitoring
  • Bank account verification and analysis
  • Document authenticity verification
  • Business entity verification with state Secretaries of State
  • Cross-referencing with fraud databases and industry blacklists
  • Ongoing monitoring of accounts for suspicious activity
  • Cooperation with law enforcement and regulatory agencies
  • Regular audits and reviews of applications and accounts

8.5 Your Responsibility: You are responsible for:

  • Protecting your business and personal information from unauthorized access
  • Immediately reporting any suspicious activity or unauthorized use of your information
  • Verifying the authenticity of any communications purportedly from Top Market Funding
  • Notifying us immediately if you suspect fraud or identity theft
  • Maintaining secure access credentials and not sharing them with unauthorized parties

  • Business formation documents (Articles of Incorporation, Articles of Organization, etc.)
  • Business licenses and permits
  • Proof of business address
  • Additional financial documentation
  • Video conference or in-person verification

Failure to provide requested verification documents may result in denial of your application or termination of services.

9. Intellectual Property

The Website and all content, features, functionality, designs, logos, trademarks, service marks, and other materials displayed on the Website are owned by Top Market Funding or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from the Website without our prior written consent

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected.

15. Waiver

No waiver by Top Market Funding of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with your funding agreement (if applicable) and our Privacy Policy, constitute the entire agreement between you and Top Market Funding regarding your use of the Website and services, and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

17. Assignment

We may assign, transfer, or subcontract our rights and obligations under these Terms at any time without notice to you. You may not assign, transfer, or subcontract your rights or obligations under these Terms without our prior written consent.
